1. Acceptance of Terms

Welcome to Tech Plan Genie (“Tech Plan Genie,” “we,” “our,” or “us”), an online software application owned and operated by Green Parrot Education, LLC, a company based in Río Grande, Puerto Rico (“Company”).

These Terms of Service (“Terms”) govern your access to and use of the Tech Plan Genie website (www.techplangenie.com) and related services, products, software, and features (collectively, the “Platform”).

By accessing or using the Platform, you (“you,” “your,” or “User”) agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, please discontinue use immediately.

2. Eligibility and Authority

• You must be at least 18 years old and legally capable of entering into a binding agreement.
• If you are accessing the Platform on behalf of a school, district, or organisation (“Institution”), you represent that you have full authority to bind that Institution to these Terms.
• We reserve the right to refuse, suspend, or terminate accounts at our discretion, including for violations of these Terms or misuse of the Platform.

3. Accounts and Security

• To access most features, you must create an account and provide accurate, complete, and current information.
• You are solely responsible for maintaining the confidentiality of your login credentials and all activity under your account.
• Notify us immediately at info@techplangenie.com of any unauthorised use or suspected breach.
• We are not liable for losses due to your failure to secure your account.

4. Subscriptions, Billing, and Refunds

The Platform is offered through subscription plans (monthly, annual, or guided). Fees are clearly displayed at checkout.

• Automatic Renewal: Subscriptions renew automatically unless cancelled before the renewal date.
• Cancellation: You may cancel through your account settings or by contacting our support team.
• Refunds: Refunds, if available, are governed by our Refund Policy.
• Price Changes: We may adjust fees with prior notice. Continued use after notice constitutes acceptance of new pricing.

5. License and Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for your Institution’s internal planning and evaluation purposes, subject to these Terms.

You may not:

• Copy, distribute, or create derivative works of the Platform;
• Reverse engineer, disassemble, or decompile any part of the Platform;
• Resell, sublicence, or otherwise transfer access to third parties;
• Use the Platform for competitive analysis or to build a similar product;
• Use the Platform in violation of any laws or regulations.

6. Intellectual Property

All software, designs, AI tools, templates, data structures, and content within the Platform are the intellectual property of Green Parrot Education, LLC and are protected under U.S. and international copyright, trademark, and other intellectual property laws.

You retain ownership of any User Data you upload or input. By using the Platform, you grant us a limited licence to use, store, process, and anonymise your data to operate, improve, and support the Platform.

You represent that your User Data does not infringe or violate any third-party rights.

7. Data Privacy and Security

We respect your privacy. Our collection and use of personal data are governed by our Privacy Policy.

• We employ commercially reasonable measures to protect data but cannot guarantee absolute security.
• You are responsible for maintaining backup copies of your data.
• Upon termination, data may be deleted or retained per our data retention policies and applicable law.

Note: If your Institution handles student data, you are responsible for compliance with relevant regulations such as FERPA and COPPA. Tech Plan Genie does not knowingly collect data from children under 13.

8. Third-Party Services

The Platform may link to or integrate with third-party applications or services. We are not responsible for their content, functionality, or data practices. Use of third-party services is at your own risk and subject to their terms.

9. Disclaimers

We make no guarantee that the Platform will meet your requirements, operate without interruption, or be error-free. Educational outcomes and strategic planning results may vary and are not guaranteed.

10. Limitation of Liability

To the fullest extent permitted by law:

• Our total liability for any claim related to your use of the Platform shall not exceed the total amount paid by you in the 12 months preceding the claim.
• We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
• Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability; in such cases, the above limitations apply to the fullest extent permitted.

11. Indemnification

You agree to indemnify, defend, and hold harmless Green Parrot Education, LLC, its affiliates, officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorney’s fees) arising out of or related to:

• Your breach of these Terms;
• Your misuse of the Platform;
• Your violation of any law or third-party rights.

12. Suspension and Termination

• We may suspend or terminate your account for violations of these Terms or for any other lawful reason, with or without notice.
• Upon termination, your licence ends, and we may delete your data after a retention period.
• Provisions relating to intellectual property, disclaimers, limitations of liability, and indemnification will survive termination.

13. Modifications to Terms

• We may update these Terms from time to time. The updated version will be posted on our website with a revised “Last Updated” date.
• Material changes will be communicated via email or an in-app notice.
• Continued use after changes means acceptance of the revised Terms.
• If you disagree, you must stop using the Platform and cancel your subscription.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Puerto Rico, and you consent to their jurisdiction and venue.

15. Severability, Waiver, and Entire Agreement

• If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.
• Our failure to enforce any right or provision is not a waiver.
• These Terms, together with the Privacy Policy and any applicable policies or addenda, constitute the entire agreement between you and Green Parrot Education regarding the Platform.
